1. Legal Responsibilities

If you are accessing our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms. You agree to indemnify and hold ProjectPro harmless from any claims, damages, or expenses arising from your breach of these terms or your use of our services.

2. Conduct Requirements

Your conduct when using our services must meet certain standards. You agree to treat our staff, consultants, and other users with respect and professionalism. You will not engage in harassment, discrimination, or abusive behavior of any kind. You will participate in good faith in all consulting engagements, providing necessary information and cooperation to enable effective service delivery.

You are expected to maintain appropriate security measures for any systems or data that interact with our services. You will promptly notify us of any security concerns or unauthorized access. You will not attempt to interfere with the proper functioning of our website or services, nor will you attempt to access areas of our systems that are not intended for public access.

3. Prohibited Activities and Behaviors

Certain activities are strictly prohibited when using our services. You may not use our services for any illegal purpose or to facilitate illegal activities. You may not attempt to gain unauthorized access to our systems, networks, or data. You may not transmit viruses, malware, or other harmful code through our systems.

You may not impersonate others or misrepresent your affiliation with any person or entity. You may not collect or harvest information about other users without their consent. You may not use our services to send spam, phishing attempts, or other unsolicited communications. You may not reproduce, duplicate, copy, sell, or exploit any portion of our services without our express written permission.

4. Content Guidelines and Restrictions

Any content you submit or share through our services must comply with these guidelines. Content must not contain material that is unlawful, defamatory, obscene, offensive, or that violates the rights of others. You retain ownership of content you provide, but you grant us a license to use it as necessary to provide our services.

5. Age Restrictions and Requirements

Our services are intended for use by businesses and professionals. You must be at least eighteen years of age to use our services or enter into consulting agreements with us. If you are accessing our services on behalf of an organization, you must be authorized to represent that organization and bind it to these terms. By using our services, you affirm that you meet these age and authorization requirements.

10. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Limassol, Cyprus, for the resolution of any disputes arising from or related to these terms or your use of our services.

If you access our services from outside Cyprus, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. Nothing in these terms affects your statutory rights as a consumer that cannot be waived or limited by contract under applicable law.

11. Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. Either party may initiate negotiations by providing written notice to the other party describing the dispute in detail.

If the parties cannot resolve the dispute through negotiation within thirty days, either party may pursue other available legal remedies. Before initiating formal legal proceedings, the parties agree to consider alternative dispute resolution methods such as mediation or arbitration, which may provide a faster and more cost-effective resolution.

12. Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed from these terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, which shall remain in full force and effect.

13. Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. We will provide notice of significant changes by posting the updated terms on our website with a new "Last Updated" date. For material changes that affect active consulting engagements, we will make reasonable efforts to provide direct notice to affected clients.

Your continued use of our services after any modification to these terms constitutes your acceptance of the modified terms. If you do not agree to the modified terms, you must discontinue use of our services. It is your responsibility to review these terms periodically to stay informed of any changes.

14. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any specific service agreements you enter into with us, constitute the entire agreement between you and ProjectPro regarding your use of our services. These terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and us concerning the subject matter herein. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
